These terms are a contract for business use of an educational website. They are not a services agreement for consulting, managed IT, legal representation, or software licensing.

Upgrade Your Practice publishes independent guidance, assessments, comparisons, and prioritized recommendations so professional-practice leaders can decide what to improve and what to do first. We are not a newsroom and not a certification body.
Educational and informational nature of content
Guides, comparisons, scores, and recommendations are informational. They are not a substitute for judgment inside your practice or for qualified advisors you hire.
No professional-client relationship
Using the site, completing the scorecard, or sending a form does not create an attorney-client, accountant-client, physician-patient, or consulting-client relationship unless you later sign a separate engagement with a named firm.
No legal advice
Nothing on this site is legal advice, including discussion of confidentiality, professional conduct, or privacy laws.
No accounting or financial advice
Cost ranges and total-cost comments are planning context, not accounting, tax, or investment advice.
No healthcare advice
Clinical or dental workflow comments are operational. They are not medical, dental, or treatment advice.
No cybersecurity guarantee
We do not warrant that following a checklist, buying a product, or completing the scorecard will prevent incidents, ransomware, or data loss.
No regulatory compliance guarantee
The Practice Technology Scorecard does not prove HIPAA compliance, legal-ethics technology competence, cyber-insurance eligibility, PCI compliance, or any certification. It is a prioritization snapshot based on the answers you provide.
Accuracy and currency limitations
Vendors change packaging, prices, and features. We date pricing and product claims when we can. Confirm details with the vendor or your advisor before you buy or sign.
Product and vendor recommendations
Recommendations follow the method on How We Evaluate Products. Fit depends on your size, workflow, and risk. No product is right for every practice. We do not imply hands-on lab testing unless a page says that testing occurred.

The Upgrade Your Practice name, logo, scorecard presentation, and site content are owned by us or used under license.
Permitted use of site content
You may read the public pages, share a URL, and quote a short excerpt with attribution and with disclosures left intact. You may not copy the site as a competing product, scrape it in a way that degrades service, or remove independence or affiliate disclosures.
Prohibited use
You may not attempt to disrupt the service, probe it without authorization, submit malware, harvest contact details, or use the site to transmit confidential patient, client, or payment data.
User submissions
You are responsible for the information you submit. You grant us a non-exclusive license to use business-contact submissions to respond to your request and to operate the site as described in the Privacy Policy.
Forms and inquiries
Forms do not create an obligation for us to take a matter, introduce a vendor, or reply in a stated time. Do not use forms for emergencies.
Disclaimer of warranties
The site is provided as available, without warranties of completeness, merchantability, or fitness for a particular purchase. We do not warrant uninterrupted access.
Limitation of liability
To the extent allowed by law, Upgrade Your Practice and its related companies are not liable for lost profits, lost data, practice downtime, regulatory penalties, or indirect damages arising from use of the site or reliance on scores or articles. Our total liability for a claim relating to the site is limited to the greater of fifty U.S. dollars or the amount you paid us, if any, for the specific site feature at issue in the three months before the claim.
Indemnification
You will defend and indemnify Upgrade Your Practice and its related companies against claims arising from your misuse of the site, your submissions, or your violation of these terms, to the extent allowed by law.
Governing law
These terms are governed by the laws of the United States and the state in which Upgrade Your Practice maintains its principal place of business, without regard to conflict-of-law rules. Courts in that state may hear disputes that are not otherwise required to be heard elsewhere.
Changes to terms
We may update these terms by posting a new version on this page and changing the last-updated date. Continued use after a change means you accept the revised terms.
Severability
If a provision is unenforceable, the rest of the terms still apply.
